Terms of Service

Eligibility and authority

By creating an account or using the DigProof platform (the "Service"), you agree to these Terms of Service. If you use the Service on behalf of an organization, you represent that you have authority to accept these Terms for that organization, and "you" and "customer" then refer to that organization. You must be legally able to enter into a binding agreement to use the Service.

Accounts and users

To use the Service you must register an account. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Customer organizations may designate administrators who invite and manage authorized users, assign roles, and configure organization settings, jobsites, and permissions.

Customer organizations are responsible for granting and revoking user access, keeping user information current, and promptly reporting any suspected unauthorized use to support@digproof.io.

Deleting an individual authorized-user account removes that person's sign-in, profile, and organization access. It does not terminate the customer organization's enterprise service agreement or delete its workspace and operational records.

Customer responsibilities

The customer organization is responsible for:

  • Which employees and authorized users receive accounts.
  • Providing legally required workplace notices to its personnel.
  • Obtaining any employee permissions or acknowledgments required for location, presence, time, and documentation features.
  • Ensuring that Weekly Expectations, proof photos, incident reports, and other submitted content are accurate and lawfully obtained.
  • Configuring roles, jobsites, geofences, and permissions appropriately.

Lawful use of platform features

Customers must use GPS, background-location, jobsite geofence, time-clock, presence, incident, safety, and documentation features lawfully and in compliance with applicable federal, state, and local laws — including workplace-notice, wage-and-hour, and privacy laws that apply to the customer's operations.

Acceptable use

You will not, and will not permit any user to:

  • Use the Service in violation of law or the rights of others.
  • Attempt to access accounts, data, or systems the user is not authorized to access.
  • Reverse engineer, decompile, or attempt to derive source code, except to the extent applicable law expressly permits.
  • Interfere with or disrupt the Service, other users, or supporting infrastructure.
  • Upload malicious code or content that is unlawful, harassing, defamatory, or infringing.
  • Use the Service to build a competing product.

Customer content and license

As between the parties, the customer owns the content submitted through its workspace (including photos, notes, timesheets, incident reports, witness statements, uploaded files, and other records). You grant DigProof a limited, worldwide, non-exclusive license to host, store, process, transmit, back up, and display such content solely to provide, secure, support, and improve the Service, and to comply with law.

DigProof intellectual property

DigProof and its licensors own the Service, including all software, designs, trademarks, and documentation. No rights are granted except the limited right to use the Service under these Terms.

Subscriptions and billing

DigProof is sold as an enterprise service outside the iOS app. Customer organizations may be invoiced directly or billed through Stripe under their selected plan or service agreement. The iOS app is a free companion for authorized users and does not offer purchases or plan upgrades.

Cancellation and refunds

Customers may cancel a subscription or service agreement at any time.

Deleting an individual user's login does not cancel the customer organization's service. Enterprise cancellation must be authorized by the customer organization through its applicable billing or agreement process.

Cancellation prevents the next subscription renewal.

Unless otherwise stated during checkout, access ordinarily continues through the end of the already-paid billing period.

Subscription charges already paid are generally nonrefundable except where required by law.

Billing errors, duplicate charges, and exceptional circumstances may be reviewed individually by contacting support@digproof.io.

Payment failures, suspension, and termination

If a charge fails, we may retry the payment and, after reasonable notice, suspend access until amounts are paid. We may suspend or terminate accounts for material breach of these Terms, for unlawful use, or as needed to protect the Service or its users. Customers may terminate at any time by cancelling and, if desired, requesting account closure through support@digproof.io.

Third-party services

The Service integrates with third-party services (for example, Stripe for payments, Supabase for authentication and database, Usercentrics for consent management, and Resend for transactional email). Those services are governed by their own terms and privacy policies.

Product changes and availability

DigProof may modify, add, or remove features and may perform maintenance or updates from time to time. We do not guarantee uninterrupted or error-free operation.

Customer data exports

Where the Service supports exports, customers may export their workspace data using in-product tools. For assistance with an export, contact support@digproof.io.

Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, DigProof disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. DigProof does not warrant that the Service will be uninterrupted, error-free, or secure, and does not guarantee legal compliance, workplace safety, or particular business outcomes for its customers. The Service is not a substitute for legal advice.

Limitation of liability

To the fullest extent permitted by law, DigProof and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to the Service, even if advised of the possibility of such damages. The aggregate liability of DigProof for any claim arising out of or relating to the Service will not exceed the greater of (a) the amounts paid by the customer to DigProof for the Service in the twelve months preceding the event giving rise to the claim, or (b) US $100. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

Indemnification

The customer will defend, indemnify, and hold harmless DigProof and its personnel from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to (i) the customer's use of the Service in violation of these Terms or law, or (ii) content the customer submits to the Service.

Governing law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws principles. Venue for any dispute lies in the state and federal courts located in North Carolina, and the parties consent to the personal jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, when appropriate, by additional notice through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
